Decisions of the General Meeting of Shareholders

At the General Meeting of Shareholders of Stara Planina Hold, held on 15.06.2007, the following decisions have been taken:
- Adoption of the management bodies` report about the activities of the company in 2006
- Adoption of the 2006 annual financial statement of the company
- Adoption of the report of the specialised audit firm about the verification of the 2006 annual financial statement of the company
- Election of a certified public accountant
- Adoption of the report of the Investor Relations Director
- Exemption from liability of the members of the management bodies for their activity in 2006
- Amendments to the Statute of the company
- Distribution of gross dividend for 2006 on amount of BGN 0.1419 per share
- Dividends will be paid out as from 10.09.2007.
- Dividends` pay out period: 3 months
- Decision for an increase in the capital for the account of company`s own funds, namely of the accumulated reserves and the retained profit from prior periods, from BGN 1,750,000 to BGN 21,000,000 through the issuance of 19,250,000 ordinary, dematerialised, registered and voting shares. Every shareholder shall have the right to obtain a part of the new shares in proportion to its participation in the capital before the increase.
Bulgarian Stock Exchange – Sofia announced the right on dividend will be entitled to all shareholders registered with the Central Depository AD within 14 days after the GMS date i.e. by 29.06.2007 (Record Date). The final date for transacting shares of this company on the BSE-Sofia, as a result of which the owner will be entitled to obtain dividend, will be 27.06.2007 (i.e. Ex Dividend Date: 28.06.2007).
The right on acquisition of new shares from the increase will be entitled to all shareholders registered with the Central Depository AD within 14 days after the GMS date i.e. by 29.06.2007 (Record Date).
The final date for transacting shares of this company on the BSE-Sofia, as a result of which the owner will be entitled to obtain new shares from the increase, will be 27.06.2007 (i.e. Ex Date: 28.06.2007).
